Terms of service
Last updated 13 October 2026
These terms are an agreement between Upwren Ltd, trading as Nudgelist (“we”, “us”), a company registered in England and Wales with company number 17507839 and registered office at 66 Paul Street, London, EC2A 4NA, and the business that creates a Nudgelist account (“you”, “the agency”). By creating an account or paying for a plan you accept them on behalf of your business. Questions: hello@getnudgelist.com.
1. Business use only
Nudgelist is for businesses, such as recruitment agencies and independent recruiters. It is not for consumers. You confirm you are using it for your business and that the person accepting these terms can do so on its behalf.
2. The service
Nudgelist lets you send candidate shortlists to your clients through private links, collect their decisions, send reminders and keep a dated record of each introduction. We may improve and change features over time. If we remove something you rely on, we will give you reasonable notice.
3. Your account
- Keep your sign-in details secure and tell us straight away if you think someone else has used your account.
- You are responsible for what happens in your account, including anything done by people you give access to.
- Give accurate information about your business and keep your billing details up to date.
4. Plans, trial and payment
- New accounts get the Pro plan free for 14 days. No card is needed. At the end of the trial you move to the Free plan unless you choose a paid plan.
- The Free plan allows up to 3 open roles. Paid plans are priced per user, as shown on our website and at checkout. Prices exclude VAT, which is added where it applies.
- Subscriptions renew automatically each month or year, depending on the plan you chose, and are charged in advance through Stripe.
- You can cancel at any time in Settings. Cancelling stops the next renewal; you keep access until the end of the period you have paid for. We do not refund part-periods, except where the law requires or where we end the service without cause (section 11).
- We may change prices with at least 30 days’ notice by email. Changes apply from your next renewal after the notice period, and you can cancel before then.
- If a payment fails we will let you know. If it is not resolved within 14 days we may move your account to the Free plan.
5. Your responsibilities for candidate and client data
- You are responsible for having a lawful basis to add candidates’ and client contacts’ details to Nudgelist and to share them, and for meeting your obligations as a recruiter, including under the Conduct of Employment Agencies and Employment Businesses Regulations 2003 where they apply.
- Nudgelist requires you to record or request a candidate’s agreement before sending them. You are responsible for that record being true.
- Only upload what a client needs to assess a candidate. Do not upload special category data (for example health, religion or criminal records) unless it is necessary and you have a lawful basis to share it.
- You are responsible for the content you add, including your terms of business text.
6. Acceptable use
Do not use Nudgelist to send unsolicited marketing, to share content you have no right to share, to break the law, or to interfere with or probe the service’s security. We may suspend accounts that do, and will tell you why unless the law prevents us.
7. The introduction record
Nudgelist keeps a timestamped, unchangeable log of each introduction, including the terms text shown at the time. It is designed to help you evidence introductions in a fee dispute. It is a record of what happened in Nudgelist, not legal advice and not a guarantee that a fee will be payable. Whether a fee is owed depends on your agreement with your client.
8. Your data and ownership
You own the data you put into Nudgelist. You give us permission to use it only to provide and support the service for you. We own Nudgelist itself. You can export your introduction records at any time, and we will provide a full export on request when you close your account.
9. Data processing terms
This section applies where we process personal data on your behalf, and forms the data processing agreement required by Article 28 of the UK GDPR.
- Roles. You are the controller and we are the processor of candidate and client contact personal data you add to Nudgelist.
- Subject matter and duration. Providing Nudgelist to you, for as long as your account is open and until the data is deleted under point 9.
- Nature and purpose. Storing, displaying, sending and recording shortlists, decisions, comments, reminders, decision receipts, consent confirmations, candidate updates and introduction records.
- Data subjects and data. Candidates (profile details, CVs and documents, email address, consent records, client feedback) and client contacts (name, email address, activity on the shortlist, decisions, comments and email replies).
- Instructions. We process the data only on your documented instructions, which are these terms and your use of the service, unless the law requires otherwise, in which case we will tell you unless the law prevents it.
- Confidentiality and security. Anyone we authorise to process the data is bound by confidentiality. We maintain appropriate technical and organisational measures, including encryption in transit and at rest, separation of each agency’s data, private file storage with short-lived download links, and restricted access to production systems.
- Sub-processors. You authorise us to use the sub-processors listed in our Privacy policy. We have written agreements with each that protect the data to the same standard, and we remain responsible for them. We will give you at least 30 days’ notice by email of any new sub-processor, and you may object; if we cannot resolve the objection you may cancel and receive a pro-rata refund of prepaid fees.
- International transfers. We do not transfer the data outside the UK or European Economic Area except where protected by UK-approved safeguards, as described in the Privacy policy.
- Deletion or return. When your account closes we delete the data within 30 days, or return it first if you ask, unless the law requires us to keep it. Backups are overwritten within a further 30 days.
- Assistance. Taking into account the nature of the processing, we will help you respond to data subject requests, meet your security obligations, and carry out data protection impact assessments.
- Breaches. We will tell you without undue delay, and in any case within 48 hours, after becoming aware of a personal data breach affecting your data, with the information you need to meet your own obligations.
- Audit. We will make available the information needed to show we meet this section, and allow and contribute to reasonable audits, at your cost and with reasonable notice, no more than once a year unless there has been a breach.
10. Availability and support
We aim to keep Nudgelist available at all times but cannot promise it will be uninterrupted or error-free. We may need short maintenance windows. Support is by email at hello@getnudgelist.com.
11. Ending the agreement
- You can stop using Nudgelist and cancel at any time.
- We may suspend or end your account if you materially break these terms and do not put it right within 14 days of us telling you, or immediately for serious misuse.
- We may end the service for everyone with at least 60 days’ notice, and will refund any prepaid fees for the period after it ends.
12. Liability
- Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.
- We are not liable for loss of profits, revenue, fees or business, or for indirect or consequential loss.
- Otherwise, our total liability to you in any 12-month period is limited to the greater of the fees you paid us in that period and £100.
- You are responsible for claims arising from data or content you added to Nudgelist without the right to do so.
13. Changes to these terms
We may update these terms. We will give account holders at least 30 days’ notice by email of changes that affect them materially. Continuing to use Nudgelist after that date means you accept the updated terms.
14. General
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction. If any part is found unenforceable the rest still applies. Notices to us can be sent to hello@getnudgelist.com or by post to our registered office; we will send notices to you at your account email address. We may transfer this agreement to another company that takes over Nudgelist, and will tell you if we do.
